Overview

Charley Grey provides fully managed website subscriptions designed to deliver a high-performing, on-brand, and hassle-free online presence for your business. Our subscriptions include ongoing maintenance, hosting, updates, and enhancements for one monthly fee, plus a one-time, non-refundable onboarding fee.

By subscribing to our services, you agree to the terms outlined below.

Subscription Terms

  • Onboarding Fee: A one-time, non-refundable onboarding fee is due at the start of the project, before the Discovery meeting.
  • Monthly Subscription Fee: Your monthly subscription fee begins 45 days after project start and onboarding fee payment, regardless of whether your website has launched.
    • Project start is defined as the later of the date the onboarding fee is received or the Discovery meeting is completed.
    • In the event of delays due to client unresponsiveness or incomplete deliverables, subscription billing will proceed as scheduled. If delays are due to Charley Grey, billing may be deferred at our discretion.
  • Automatic Renewal: Subscriptions automatically renew on a month-to-month basis until canceled in writing.
  • Included Services: See full service list in your agreement.
  • Fair Use Policy: Excessive support requests may trigger a review and adjustment to your plan. A support request is defined as a task or inquiry that requires more than 15 minutes of technician time.

Cancellation Policy

  • Notice Required: Cancellations must be submitted in writing or by email at least 60 days before your desired termination date.
    • Email cancellations must be sent to [email protected]. Written requests should be sent to our business address. A cancellation confirmation will be provided within 3 business days.
  • Effect of Cancellation:
    • Your website will go offline at the end of your subscription term.
    • You may keep your domain name, text content, and images.
    • All proprietary designs, code, configurations, and systems developed by Charley Grey remain the intellectual property of Charley Grey and are licensed for use during your active subscription.
  • Non-Payment: Repeated failure to pay on time may result in immediate termination of your subscription.

Refunds

  • The onboarding fee and any monthly fees already paid are non-refundable.
  • No partial refunds are provided for unused portions of a billing cycle.

Scope & Limitations

  • Requests outside the standard managed website plan (e.g., eCommerce, membership management, third-party integrations) may require additional fees or a custom development quote.
  • Services outside the standard managed website plan (e.g., Social Media Management, Graphics, Blogging, or other marketing services) require additional fees.
  • Access to the backend of your website and hosting server is not provided to protect your investment, our intellectual property, and site security.

Payment

  • Payments are processed automatically via ACH or credit card.
  • Late payments are subject to an 8% monthly late fee.
    • Payments are due on the invoice due date. A grace period of 5 calendar days will be provided before late fees apply. Accounts more than 15 days past due may be suspended.

Governing Law

All disputes shall be resolved by binding arbitration in Hamilton County, Indiana, in accordance with the rules of the American Arbitration Association.
